Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Etairos platform, services, and software (collectively, the "Service"), operated by Etairos ("Etairos," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Etairos provides AI-powered business services for small and medium-sized businesses, including but not limited to:

• • AI-powered knowledge base and document assistant
• • Automated business communications (email drafting, call management)
• • Google Workspace integration and data access
• • AI front desk and call handling via voice automation
• • Marketing and social media content generation
• • CRM and operations workflow automation

To use the Service, you must create an account using a valid Google Workspace account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use at [email protected].

Access to the Service is granted at the organization level. Your organization administrator controls which users have access and at what permission level. We are not liable for actions taken by authorized users under your account.

You agree not to use the Service to:

• • Violate any applicable law or regulation
• • Send unsolicited communications (spam) or engage in deceptive practices
• • Upload or process content that infringes intellectual property rights
• • Attempt to reverse engineer, decompile, or extract source code from the Service
• • Interfere with or disrupt the integrity or performance of the Service
• • Use the Service to train competing AI models or products
• • Process sensitive personal data (health records, financial account numbers, government IDs) without appropriate safeguards

The Service integrates with Google Workspace (Gmail, Google Drive, Calendar, Contacts) using OAuth 2.0. By connecting your Google account, you authorize Etairos to access and process data in those services as described in our Privacy Policy. You may revoke this access at any time through your Google account settings at myaccount.google.com/permissions.

Etairos is not responsible for the availability or accuracy of data retrieved from Google services, nor for actions taken by the AI on your behalf that you have authorized.

The Service uses artificial intelligence to generate content and, where authorized, take actions on your behalf (such as sending emails or creating calendar events). You acknowledge that:

• • AI-generated content may contain errors and should be reviewed before use in critical communications
• • You are responsible for reviewing AI-drafted emails, documents, and other outputs before they are sent or published
• • When you authorize an action (such as sending an email), you accept responsibility for that action
• • Etairos is not liable for the accuracy, completeness, or appropriateness of AI-generated content

Subscription fees are billed monthly in advance. Pricing is as set forth in your service agreement or order form. All fees are non-refundable except as required by law or as expressly stated in your agreement. We reserve the right to change pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your account.

The Service, including all software, algorithms, and platform infrastructure, is the exclusive property of Etairos and its licensors. You retain ownership of all data, content, and documents you upload or connect to the Service ("Customer Data"). You grant Etairos a limited license to access and process Customer Data solely to provide the Service. We do not use your Customer Data to train AI models without your explicit consent.

Each party agrees to keep the other's confidential information confidential and to use it only as necessary to perform under these Terms. Confidential information does not include information that is publicly known, independently developed, or rightfully received from a third party without restriction.

To the maximum extent permitted by law, Etairos's total liability to you for any claims arising under these Terms shall not exceed the fees paid by you in the three months preceding the claim. In no event shall Etairos be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.

You agree to indemnify and hold Etairos harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including privacy or intellectual property rights.

These Terms remain in effect while you use the Service. Either party may terminate with 30 days' written notice. We may terminate immediately for material breach, non-payment, or illegal use. Upon termination, your access will be revoked and your data will be deleted within 30 days per our data retention policy.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Williamson County, Tennessee.

We may update these Terms at any time. We will notify you of material changes by email or through the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
